立体声收音机来料加工贸易
经数月磋商，我们双方终于就来料加工达成了共识。现将我方建议的要点归纳于下：
1、上海电子器材制造厂（又称SEF）在为期5年内以香港艾特拉电子器材公司（又称AE）提供的配件、辅料、必需的设备和工具装配50000台立体声收音机。
2、AE向SEF提供全部配件、辅料、必需的设备和工具，并提供附件列明的技术资料和蓝图。SEF把上述配件装配成立体声收音机，并将成品运给在香港的AE或运往AE所要求的其他港口，全部运费由AE负担。
3、SEF和AE双方均同意每台装配费为港元100元，但不包括保险费在内。
4、AE提供的配件和辅料由日本运到上海，成品由铁路从上海运往香港，或按AE在装运前一个月所给的装运须知运往其提出的美国西部港口。成品的装运逐季安排，每月装运一或二次。
5、加工费和运费以即期信用证支付。信用证由AE或由其在美国的分公司于装运前30天开立。
6、配件和辅料等在上海存储期间的保险以及成品，从上海运往目的地，在途期间的保险由SEF代AE投保。
7、包装：一台装一纸板箱，50台装一适合出口的木箱，包装费由AE负担，实报实销。
8、对违约而引起的损失的补偿：如在合同规定时间内，AE不能提供配件和辅料，或是SEF未能交运立体声收音机，因此而造成的损失，违约方应补偿遭受损失一方的全部损失。
9、合同签订后，AE自费派遣15名技术人员和3-5名行政管理人员到SEF工厂，在装配时给予技术帮助，并在成品发运前检验成品。
10、在装配过程中配件和辅料和损坏率为2.5%。如发现AE所供配件和辅料有损坏或缺陷，SEF应立即如实通知AE，以便AE及时替换。

SPECIMEN:NEGOTIATING TRADE POINTS FOR PROCESSING GOODS FROM BUYER'S RAW MATIRIALS
Dear Sirs,
RE:PROCESSING STEREO RADIOS FROM BUYER'S RAW MATIRIALS
After several months negotiation,we have,finaly,shared the same points on assembling goods from supplied components. We, herewith,sum up the main ideas that we suggested as follows:
1.Shanghai Electronic Equipment Factouy(herein after called SEF)will assemble 50000 sets of stereo radios with the componenets,auxiliary materials,necessary equipment and tools provided by HongKong Aterlar Electronic Equipment Company(herein after called AE)within 5 years.
2.AE will provide SEF with complete components,auxiliary materials,necessary equipment and tools,and meanwhile provide the technical data and blue prints listed in the annex sheet.SEF shall assemble them into stereo radios and send the finished products to AE in HongKong or to any other ports required by AE.All the freight will be paid by AE.
3.SEF and AE have both agreed that the fee of assembly for each set is HK0,but insurance expenses are not included.
4.the xomponents and auxiliary materi
als supplied by AE are to be shipped from Japan to Shanghai.The finished products are to be carride by train from Shanghai to HongKong or to the western ports of U.S.A.according to the instruction on notice of shipment supplied by AE prior to one month of shipment.The shipment of the finished products are to be arranged seasonally.One or two shipments will be made each month.
5.Assembling fee and freight are to be paid by sight L/C. the L/C will be opend by AE or his company in U.S.A.within 30 days prior to the time of shipment.
6.The insruance for the components and auxiliary materials during the period of storage in Shanghai and that for the finished poducts in transit from Shanghai to destination will be covered by SEF on AE's behalf.
7.packing:1 set is to packed in a carton,50 sets are to be packed in a export wooden case.Actual export expenses will be beared by AE.
8.Compensation on loss by breach of contract:Should AE fail to supply components and auxiliary materials within the stipulated contractural time or should SEF fail to deliver the stereo radios,the responsible party shall compensate the other for the total loss.
9.After singing the
contract,AE shall,at his own expenses,despatch 15 technicians and 3 to 5 administrative persinnel respectively to SEF's factory to provide technical help during the process of assembly and inspect the goods before finished products are despatched.
10.The allowance for damage of components and auxiliary materials is 2.5% during the process of assembly.In case damage is found in the components and auxiliary material supplied by AE,SEF shall inform AE immediately so as to enable Ae to make a replacement.
